§ 1  Name, Headquarters, Fiscal Year

(1) The Association bears the name „International Sock Knitters Association Hechingen-Hohenzollern“ and has its headquarters in Hechingen. It must be registered in the Register of Associations at the District Court of Hechingen. After registration, it is also bears the name „registered association“ in the abbreviated form „e.V.“.

(2) The fiscal year is the calendar year.

§ 2  Purpose of the Association

(1) The purpose of the Association is the promotion of environmental protection as well as the support of people in need of help within the meaning of §53 of the German Fiscal Code.

(2) This purpose is realized in particular by the provision of funds in the form of

-Membership fees,
-Donations
and
-Conducting events that serve the non-commercial advertising of the purpose of the association

for the realization of charitable purposes or environmental protection by another corporation.

§ 3  Non-profit status

(1) The Association shall pursue exclusively and directly non-profit making aims within the meaning of the section „tax-privileged aims“ of the German Fiscal Code (§§ 51 ff. AO).

(2) The Association is selfless. Its aims are primarily non-profit making. Funds belonging to the Association may be used for association purposes only.

(3) The members of the Association do not receive any shares in profits nor are they granted financial benefits from the Association funds in their capacity as a member of the Association. They receive no compensation whatsoever for their membership on resigning or in the event of dissolution of the Association.

(4) No person may benefit from expenses that do not promote the aims of the Association or from disproportionally high remuneration.

(5) Members of the organs of the Association work on a voluntary basis.


§ 4  Membership

(1) Every individual and legal entity can become a member of the Association.

(2) Application for acceptance as a new member in the Association must be made to the Executive Committee by completing the relevant form. Applications of minors must bear the signature of the legal guardian that is likewise considered as a consent to exercise the rights and duties of membership.

(3) The Executive Committee shall decide on the acceptance of members. The applicant will be informed of non-acceptance and the reason for this decision in writing.

(4) Membership commences with written confirmation of acceptance by the Executive Committee. The membership fee is then also due for payment.

(5) Membership expires

    a) On the death of the member, or upon loss of legal capacity;
    b) When the Chairman or his/her vice chairman receives a written declaration of retirement;
    c) In the event of expulsion for cause. A cause in this sense exists in particular, if a member acts negligently against the interests of the Association. The member shall be informed of the decision on the expulsion by the Executive Committee in writing. The member can make an appeal to the Executive Committee in objection to the expulsion within a period of two weeks. The Executive Committee shall decide on the appeal.

§ 5  Financing

(1) The Association finances its expenditures through

    a) Membership fees
    b) Donations
    c) Other proceeds.

(2) The annual membership fee (amount and due date) will be determined at the general meeting.

§ 6  Organs

Organs of the Association are

1. General meeting,
2. Executive Committee according to § 26 BGB (Civil Code)
3. Members of the Executive Committee.


§ 7  General meeting

(1) The general meeting comprises the members of the Association attending the meeting who are entitled to vote.

(2) The duties of the general meeting are:

    a) Acceptance of the activity reports,
    b) Approval of the annual statement of accounts and discharge of the Executive      Committee,
    c) Approval of the budget,
    d) Determination of the annual membership fee (amount and due date),
    e) Election of the Executive Committee,
    f) Appointment of the auditor,
    g)Passing of resolutions pertaining to amendments to the articles and dissolution of the Association.

(3) The general meeting is chaired by the chairman and in his/her absence, the vice chairman.

(4) The general meeting shall be convened as required, however at least once a year.

(5) An extraordinary general meeting shall be convened if the Executive Committee deems it necessary or at least 20 per cent of the members of the association request it of the chairman in writing, stating the reasons.

(6) The general meeting shall be convened by the chairman subject to a period of notice of two weeks and the agenda announced accordingly. The convening of the general meeting will be announced in the daily newspapers „Hohenzollerische Zeitung“ and „Schwarzwälder Bote“.

(7) The general meeting constitutes a quorum irrespective of the number of members who appear at the meeting. This should be mentioned on the invitation.

(8) A protocol will be taken of the resolutions made by the general meeting. This protocol shall be signed by the secretary and the chairperson.

§ 8  Executive Committee

(1) The Executive Committee within the meaning of § 26 Civil Code comprises the chairman and the vice chairman. The chairman bears the title „President“, the vice chairman, the title „Vice President“.

(2) Each may represent the association by himself. The vice chairman may only make use of his/her actual authority if the chairman is unable to attend.


§ 9  Executive Committee

(1) The Executive Committee comprises

a) Chairman,
b) Vice chairman,
c) Treasurer,
d) Secretary,
e) And up to 5 further members as assessors.

(2) The Executive Committee conducts the business of the Association in so far as it is not reserved for the general meeting in accordance with these Articles.

(3) The Executive Committee meets at the invitation of the chairman and on his/her indisposition at the invitation of the vice chairman .  The Committee constitutes a quorum, if apart from the chairman at least three members of the Committee are present.

(4) The Executive Committee is elected for two years. On expiry of the election period, the Executive Committee conducts business up to the next effective re-election.

§ 10  Auditors

(1) The general meeting appoints two auditors for the period of the election of the Executive Committee, who may not be members of the Executive Committee

(2) The auditors check the correctness of the accounts and receipts with regard to facts and accounting figures and confirm same with their signature. They shall give a report to the general meeting.

§ 11  Passing of resolutions

In the event of resolutions (votes and elections) the bare majority of votes decides.
§ 12, sub-section 2 remains unaffected.

§ 12  Dissolution of the association

(1) The dissolution of the Association can only be resolved by a general meeting convened specifically by this agenda.

(2) This resolution requires a majority of three quarters of the members present.

(3) In the event of dissolution of the Association, its existing assets shall be transferred to the town of Hechingen, that will utilize them within the meaning of the purpose of the association.


§ 13  Taking effect

These Articles take effect on registration of the Association in the Register of Associations.
